What is Vendor Due Diligence?

Vendor commercial due diligence (VCDD) is the name for a commercial due diligence report which is commissioned by owners of a business it is considering selling.

Prospective buyers (such as private equity firms or corporations) are then presented with the report, reducing the need for the buyer to commission its own due diligence report.

VCDD reports are commissioned by the seller to:

  • Speed up the sale process  
  • Control the amount and level of information being presented to potential buyers
  • Engage numerous bidders simultaneously to create an auction process
  • Publish bad news up-front, so that's its discovery later on is not used as an excuse to reduce the bid price
